Ailana T. McIntosh
Ailana McIntosh has extensive legal and business experience representing clients in various transactional related matters, including commercial and residential real estate, for-profit and non-profit entity formation and governance, business mergers and acquisitions, and commercial contracts. Ailana’s clients include small, medium, and large businesses, financial institutions, service industries, professional advisors, real estate developers, non-profits and individuals. Her experience as a former litigator, coupled with her entrepreneurial background, and her excellent negotiation and drafting skills prove to be valuable assets to Ailana’s client’s legal challenges and objectives. As a business owner who comes from a family of entrepreneurs, Ailana understands the realities of business management, the need to keep costs low, and the considerations involved with every business and legal decision. Her favorite part of practicing law is diving in to learn the ins-and-outs of her clients’ businesses and becoming a partner in their journey to success.

Experience
- Mergers and Acquisitions of Business Entities:
- Represents buyers and sellers of private (non-public) business entities in mergers and acquisitions.
- Draft asset purchase agreements, financing documents, promissory notes, security agreements, and shareholder agreements, and perform due diligence related thereto.
- Representative clients include insurance brokers, financial institutions, service providers, custom car detailing and repair shops, manufacturers, boat rental companies, marketing firms, and restaurants.
- Real Estate Matters:
- Represents all parties to real estate transactions, which may include sellers, buyers, landlords, real estate servicing companies, agents, and tenants in matters involving real estate transactions and disputes.
- Banking and Financial Institutions:
- Represents banks, credit unions, and finance companies in credit transactions, including mortgage lending, loan resale agreements, collection matters, data conversion agreements, mergers, consumer disclosures, and other contractual matters.
- Represented MN’s largest credit union in transactions involving bank acquisitions.
- Hospitality & Events:
- Represents several prominent Twin Cities restauranteurs, entertainment venues, event experiential marketing companies, and other vendors in matters relating to operations, servicing agreements, real estate acquisition and leasing, risk mitigation, and legal compliance.
- Represented a MN racetrack and casino in several transactions, including corporate matters, negotiation of vendor contracts, a hotel divestiture and hotel construction.
- Business & Corporate Law:
- Represents business entities in business formations, contracts, shareholder//member agreements, shareholder disputes and claims, legal opinions, nonprofit formation and regulatory compliance, dissolution, ownership interest purchase agreements, and other transactional-related matters.
