As a founding partner of Hellmuth & Johnson, David has been creating strategic advantages for clients since the firm’s inception. He works with a diverse group of small, medium, and large businesses, financial institutions, non profit entities and individuals, primarily assisting in matters involving real estate, corporations, collection/creditor remedies, banking and financial, and business matters. David also represents a significant number of condominium and townhouse associations.

EXPERIENCE

  • Banking and Financial Institutions. Represent banks, credit unions, finance companies, and other financial institutions in lending and credit transactions and litigation, including loan documentation, lawsuits and workouts, foreclosures and collection matters.
  • Business and Corporate Law. Represent business entities in business formations, contracts, shareholder/member agreements, shareholder disputes and claims, legal opinions, embezzlement claims, lawsuits against other businesses and collection matters.
  • Collections, Creditor Remedies and Bankruptcy. Represent creditors in collection matters, judgment prosecution, workouts, guarantor lawsuits, foreclosures, receiverships, garnishments and levies, confessions of judgment and litigation.
  • Community Associations. Represent a large number of community associations in all types of legal matters (i.e. assessment collection, litigation, document amendments, corporate legal advice, banking, insurance claims, construction defects and general representation).
  • Construction and Lien Law. Represent construction companies, material suppliers, subcontractors, property owners and community associations with legal issues and lawsuits involving construction matters.
  • Mergers and Acquisitions of Business Entities. Represent buyers and sellers of private (non public) business entities in merger and acquisitions transactions.  Draft asset purchase agreements, financing documents, promissory notes, security agreements, and shareholder agreements.
  • Real Estate Matters.  Represent all parties to real estate transactions (i.e. buyers, sellers, brokers, agents, real estate companies, banks and title companies) and litigation and arbitration involving real estate (disputes, eminent domain, tax appeals and buyer-seller disputes).
