Kylie E. Kaminski
Kylie represents a broad range of clients including established and emerging businesses entities with acquisition and corporate law needs. She handles a variety of corporate and business matters including, entity formation, joint ventures, purchase, and sales of businesses. Kylie is responsible for drafting and negotiating purchase and sale documents including equity purchases, asset purchases, merger agreements, redemption agreements, and other common business documentation. She has led purchase and sale transactions from inception all the way through closing including diligence and closing mechanics. She also handles a variety of general corporate and corporate governance matters from entity formation to complex and sophisticated reorganizations. Kylie believes there are many roads to success, and she carries that attitude throughout her practice. She brings innovative solutions to her clients and makes sure she asks the right questions to help them tackle their specific goals.
Clients appreciate Kylie’s proactive demeanor and the individualized service she provides them with. When a client walks in the door, she makes sure they know that the work she is doing for them is top priority.

- Represented a Buyer in the purchase of multiple food processing and packaging companies for $40 million

- Represented seller of an alarm company for over $5 million
- Represented start up clients in creating new businesses, subsidiaries and national expansions
- Assisted and finalized corporate reorganizations of multiple real estate and other companies
- Drafted and negotiated equity buy-ins and buy-outs for multiple corporate clients
- Represented clients in contract negotiations and drafting with vendors, suppliers and business to business transactions
- Incorporated multinational businesses in the United States for purposes of conducting business in the US and advised on US laws
